Job Description

Established Renewable Fuels Company based in Northern California seeks in-house, corporate counsel for full service legal duties related to specialty chemicals industry. Report directly to chief financial officer with regular exposure to president, executive management and board while working closely with outside law firms, operation management, human resources, accounting, and insurance brokers. Preferred experience in securities, public company legal operations, sustainability, litigation, insurance, and contracts. California licensure preferred. Essential Duties and Responsibilities

In order to effectively maintain the company’s legal standing, a Corporate Counsel has to fulfill a wide variety of duties and responsibilities that require regular communications with executive management, company board, outside counsel, human resource management, and insurance brokers. The primary duty is to maintain legal compliance, but that involves many things. The major duties and responsibilities of a Corporate Counsel include:

  • Advising executive members on new laws, existing laws and legal rights that would impact functionality of the business
  • Overseeing the legal matters of the business as a whole, including acting as the business’ legal representative
  • Manage securities filings (Proxy, Form 10-K/Q, Form 8-K, etc.) and company representation
  • Develop and maintain sustainability initiatives related to ESG and other similar interests
  • Provide guidance for risk management program, including annual assessment and compliance
  • Maintaining knowledge of the company’s legal documents and operations
  • Guiding and reviewing outside counsel legal strategy in response to any litigation
  • Maintain critical records for legal documents and proceedings
  • Facilitating filings of licensing, copyright, intellectual property, and other statutory requirements
  • Communicating complex situations with outside counsel and auditors
  • Participate in external communications through press releases and disclosure processes

Education/Experience

  • Proactive attitude and hands on approach to get things done
  • Knowledge and general experience in business and industry
  • Possess administrative and managerial skills
  • Strong negotiating, writing and interpersonal skills
  • Integrity, flexibility and detail orientation with natural curiosity and enthusiasm
  • Comfortable working in Microsoft software environment (Excel, Word and PowerPoint)
  • Ability to manage multiple tasks and projects effectively
  • Juris Doctorate along with experience in Big Law or Corporate setting for at least 4 years
  • California Bar preferred

Job Description

Established Renewable Fuels Company based in Northern California seeks and FP&A Manager for full service forecasting and analysis of business operations related to specialty chemicals industry. Report directly to chief financial officer with regular exposure to accounting, plant finance managers, treasurer and VP Finance. Preferred experience in model building, KPI management, system exposure, major forecasting systems, and presentation preparation. Competitive salary with benefits based on experience. Essential Duties and Responsibilities

The FP&A Manager will report to the Chief Financial Officer and will be directly responsible for consolidating the worldwide forecasts, analyzing variances, reviewing and publishing worldwide forecast, and assisting with the preparation of Board materials as well as other special projects. The position will have responsibilities within the systems and risk management functions of the company.

  • Consolidate worldwide forecast from business units on a monthly basis;
  • Create value from forecasting process by analyzing results, identifying trends, and recommending actions;
  • Publish monthly consolidated and regional financial analyses;
  • Prepare and review financial variances between Actual/Budget/Forecast financial results;
  • Provide information to management by assembling and summarizing data, preparing reports, making presentations of findings, analyses, and recommendations;
  • Prepare periodic financial compliance packages based on lender requirements;
  • Apply accounting issues identified by the accounting group into forecasts;
  • Prepare analysis for external lenders and other parties
  • Provide communication and management of outsourced IT program
  • Administer company software programs, particularly focused on SOX and SOD compliance
  • Participate in insurance renewals and ongoing compliance
  • Other projects as assigned by CFO;
  • Based in Cupertino, CA, but may have occasional travel to Central California and India.

Along with the above mentioned, this position will provide ad-hoc analytical support CEO and North America President on an as needed basis. Duties may also include administrative tasks as well as research, other analytical forecasting, other accounting, but not limited to.

Education/Experience

  1. Proactive attitude and hands on approach to get things done
  2. Integrity, flexibility and detail orientation with natural curiosity and enthusiasm
  3. High competency with Excel, Word and PowerPoint
  4. Familiarity with internal controls and U.S. GAAP
  5. Ability to manage multiple tasks and projects effectively
  6. Able to communicate effectively orally and through writing
  7. Experience with Adaptive Insights and familiarity with QuickBooks enterprise, Blackline, and ExpenseWatch preferred
  8. BS in accounting or Finance along with experience of working in related field for at least 8 years
  9. Public accounting experience and CPA preferred

Essential Duties and Responsibilities

  1. Manage and oversee the daily operations of the biogas entity including:
  • Month, quarter, and end-year close process
  • accounts payable/receivable
  • cash receipts, vendor payments, and bank statement analysis
  • general ledger maintenance
  • support payroll and utilities
  • treasury, budgeting
  • cash forecasting
  • revenue and expenditure variance analysis
  • fixed asset activity
  1. Prepare monthly financial statements, account reconciliations and any ad-hoc efficiency metrics for production
  2. Manage metrics and vendor relationships, support plant manager and team at the plant in operations and purchasing
  3. Manage RIN and LCFS audits and other regulatory items including sales tax audit.
  4. Work closely with internal auditors, tax professionals, and financial auditors
  5. Lead or support any other ad-hoc projects

Education/Experience

  • Proactive attitude and hands on approach to get things done
  • Integrity, flexibility and detail orientation with natural curiosity and enthusiasm
  • High competency with Microsoft environment, including Outlook, Excel, Word and PowerPoint
  • Familiarity with internal controls and U.S. GAAP
  • Ability to manage multiple tasks and projects effectively
  • Able to communicate effectively orally and through writing
  • Experience with ERP (Quick Books Enterprise preferred) and familiarity with Blackline, ExpenseWatch, Adaptive Insights.
  • BS in accounting or Finance along with experience of working in related field for at least 5 years
  • Public accounting experience and CPA preferred
